Job Description

Background and Context

SOS Children’s Villages Ethiopia is an International Non-governmental organization and a member of SOS Children’s Villages International Federation. We started our humanitarian work in Ethiopia with the opening of our first Village in Mekelle, Northern part of Ethiopia in 1974. Since then, we have expanded our programs to different regions where there are significant needs for intervention and where we believe we can work in partnership with all relevant actors to bring sustainable positive outcomes for children’s and young people.

Today, we have grown significantly to meet the persistent challenges that confront Ethiopian children who have lost parental care and those that are at risk of losing their parental care. Working in close collaboration with international donors, local government and community based organizations across seven program locations; we aspire that every child grows up with love, respect and security.

SOSCVE has recently launched a project that aims to create improved training and employment prospect of disadvantaged young people. BMZ project in Ethiopia plans to adopt this model by setting up “Franchise Innovation Center” at both project location in targeted TVET institutions. The Franchise business Model is an entrepreneurship promotion model, which was awarded the UNESCO-UNEVOC status of Promising Practise in TVET: A Franchise Workshop (e.g. in carpentry) is set up within a Vocational & Technical College as a social enterprise which provides skills training through local entrepreneurs (called “franchisees”), who assume the responsibility to train young people in a technical skill (e.g. carpentry) and to be entrepreneurs or to be skilled enough to be employed by entrepreneurs.

Under the project, Franchise business model encompasses three major actors:

  • Franchisor – will be SOSCVE Vocational & Training College in close collaboration with the project allocates the premise, workshops,  idle machines and equipment of the vocational training college to local entrepreneurs through rental fees
  • Franchisee – Will be local private companies whom pay affordable rent for the equipment and working space made available at the VTC as unit of production and in the process provide practical training/internship for project’s targeted youth
  • Targeted youth – unemployed youth whom work as an intern full time at the production unit, and receive stipend fee to cover their costs: transport, canteen and etc from the project and franchisee

Objective

The legal service provider is expected to provide the legal perspectives in setting up & managing the franchise business model and develop a standard Franchise Manual and sample contractual agreement to be signed by the 3 main actors

Scope of Work

The Legal Service Provider is expected to

  • Advise on the legal requirements of the VTC as a franchisor and legal commitments while engaging in this business relationship
  • Advise on major considerations and steps to take before signing the contractual agreement
  • Develop a standard Franchise Manual
  • Develop sample contractual agreement to be signed by the 3 main actors

Deliverable

  • Legal review report/opinion on implementing Franchise business model in the context of SOSCVE
  •  A standard Franchise Manual
  • Sample contractual Agreement

Duration of the Assignment

  • The duration of the assignment will be 10 days from the date of signing the contractual agreement.  

Job Requirement

The must haves

  • Legally registered with a Tin number and a renewed license.
  • Having experience of developing related materials such as contractual agreement in franchisee & franchisor relationship as well as guiding manual

    The application should include:

        • A technical proposal with detailed response to the TOR, with specific focus on the scope of work and methodology
        • A financial proposal detailing daily rate expected and other mode of payment
        • A copy of Legal certificate registration renewed for the current Ethiopian fiscal year.
        • A copy of Tax clearance certificate,
        • VAT/TOT registration
        • At least three certificates or recognitions of  similar tasks  previously conducted
        • A cover letter outlining the suitability of private company for the assignment, motivation and summarizing relevant experience
